6. Fees & Payment

Fees for our services will be as agreed in writing. Unless otherwise specified:

• Invoices are payable within 30 days of the invoice date.
• Late payments may be subject to interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
• We reserve the right to suspend services where payment is overdue.
• All fees are exclusive of VAT, which will be added at the applicable rate.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Marketing Academy Group Ltd shall not be liable for:

• Loss of profits, revenue, business, or anticipated savings.
• Loss of goodwill or reputation.
• Any indirect or consequential loss.

Our total liability in contract, tort (including negligence), breach of statutory duty, or otherwise arising in connection with any engagement shall not exceed the total fees paid or payable by you in the three months preceding the event giving rise to the claim.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

8. Warranties & Representations

We warrant that we will provide our services with reasonable care and skill. We do not warrant that our services will achieve any particular marketing outcome or commercial result, as these depend on many factors outside our control.

Either party may terminate a service agreement by providing the notice period specified in the relevant statement of work. Upon termination:

• You remain liable for all fees accrued up to the termination date.

These terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the law of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute.
